Welcome to Neworkom International Terms and Conditions. 

 These Terms of Use describe the terms and conditions applicable to your access and use of the Neworkom International Ltd. 

 This document is a legally binding agreement between you as the user(s) of the Sites (referred to as “you”, “your” or “User” hereinafter) and 

The company Neworkom International Ltd, with company number: C90224 having its official address at Smart City Malta, Building SCM 001, Level 5, Ricasoli, Kalkara, SCM 1001, Malta (referred to as “the company”, “us”, “we”) entity (referred to as “we”, “our” or “Neworkom International Ltd” hereinafter).

1. Application and Acceptance of the Terms

1. 1. By making use of this website, the user is automatically agreeing to have accepted the terms and conditions here in. If the user disagrees with the terms and conditions in whole or else in part, the user should immediately discontinue to use this website. 
   2. The age permitted to make use of this website is that of (18) eighteen years of age or older. By making use of this website, the user is confirming that he is of (18) eighteen years of age or older. 
   3. Cookies are used in this website- the user automatically agrees to the use of cookies by using this website. 
   4. The terms and conditions may be changed at any time by Neworkom International Ltd. If there is a change in the terms and conditions of this website a notification will inform the user that there has been a change in the terms and conditions and by continuing to use this website you will therefore be agreeing to the change of use of the terms and conditions, and the new terms and conditions will automatically apply to you. 

1. 1. The correct version of the terms and conditions, and the version that governs your use of the services is that provided in the English language, any other version of which ever language is only provided for convenience only.  

1. 1. A separate agreement and/or an additional agreement may be entered into between the user and the website or affiliate for any service, whether online or offline. In the case of conflict or inconsistency, the separate and/or additional agreement shall have precedence over these rules which regards to those services concerned. 

1. 1. The terms and conditions of this website may only be altered in writing by an authorized person/officer on behalf of Neworkom International Ltd. 

1. Enrolment package

1. For a user to have access to his own back office, the user must primarily buy the enrollment package. The enrollment package allows the user to enroll in the system and start making use of the software provided by the website, and also to become a member of the Neworkom Community.

1. To buy the enrolment package the following is required: 

1. The user must pay an annual fee required

1. A onetime only registration of all the personal details of the user as required by the website (further information may from time to time be required, as so to improve our services. Such information may be obligatory to continue to use our service) 

1. Only once both the payment and the provided details are verified will the user have full access on the back-office system (therefore it is of the responsibility of the user to provide the necessary correct information to the website for him to have access). The user who lacks to send the required information, shall not be considered a verified registered user. 

1. The annual Fee is considered to be valid for (12) twelve continuous months from the date of when payment is received by the company.

1. The user, by becoming a member has to choose a username and a password which data shall be kept confidential by the user at all times. The user shall be solely responsible for all activities that occur on that user’s account. The member shall inform Neworkom International Ltd immediately of any unauthorized information of the user’s account, or any breach of security. Neworkom International Ltd shall not be responsible for the loss of any data by unauthorized activity. 

1. Access to this site and the usage of services requires registration. Once the registration is complete, the member may decide to purchase other services or products which will be made available after the user becomes a member. The user who decides to register as a member must provide his personal details as required by the website. How the website handles the user’s private information is explained in more detail in the privacy policy provided in this website. 

1. The company considers a user as a verified registered user, only once the user finalizes the SDD- Simplified Due Diligence. The Simplified Due Diligence is required as to verify that the user is not a robot, and to improve customer experience especially in circumstance when it relates to payments to be done towards the user/member. (Please see the Privacy Policy)

1. The (SSD) – Simplified Due Diligence will require the following information: 

1. 1. Full name and surname
   2. Contact number
   3. Residence address 
   4. Nationality 
   5. Colored Copy of the frontal of the Identity card/passport
   6. Back colored copy of the Identity card/passport

1. It is of high importance that once the user decides to acquire the enrolment package, such user needs to send all documentation required in a correct manner, and such information will then be verified. Only once the member is verified, will the user become a full member of Neworkom’s website/s. 

1. The user, who fails to send the correct information required by the SDD, will not have full access to the services provided by the website until such information is sent correctly. Once the information sent is considered as incorrect, an email will be sent whereby the user is informed that the documentation sent is incorrect, with a link for such documentation to be resubmitted. It may be the case, that during the verification process it is required to send further documents for further clarifications.

1. In such an event (clause 2e), the documentations may be resubmitted by using the link sent to the user, and the user must make sure that the correct information is submitted. If any difficulties arise, the user may contact the website by sending an email on:- support@neworkom.com 

1. Processing of the documents sent may take up to a maximum of (3) three working days to process and verify the documents. 

1. Shall the user decide not to send such required information, then such user shall not be considered a Verified Registered user. This may result in the possibility of payout being refuted, until such documentation and information is received by the company. 

1. Services provided when buying the Enrolment Package

1. The enrolment package provides the following benefits: 

1. Your own back office, where you can administer all your activity, and the possibility to become one of Neworkom’s Independent Consultant. 

1. Become a member of the Neworkom Community and benefit from various benefits which may be promoted by the company from time to time;

1. Introduce other persons to the community and gain on the Uni-level Plan (See heading no.4 – Uni-Level Plan);

1. Promotional tools: promotional tools include text invites, banner invites and social invites that can be easily sent on all social media groups. 

1. Have access to acquire Neworkom’s Business packages and become a Neworkom Independent Consultant by selling “Licenses of Use” which may be sold to the Merchants, which in return will have access to the web portals produced by the Company, and the Independent Consultant may also generate different points which will generate him/her further gains and commission. 

1. Various benefits and promotional activity which the company may from time to time publish, restricted solely to Verified Registered Users.

1. The Uni-level Plan

The Registered Verified User, may upon making part of the Neworkom Community, introduce further users to also make part of such community. The members introduced by the Registered Verified User will automatically be considered sponsored by the Registered Verified User who has introduced them. 

Shall the person/s introduced by such Registered Verified User acquire a Business Package, and commence their activity with Neworkom International Ltd, then a commission is recognized to the person who has introduced such user. The Registered Verified User introducing other users to the Neworkom Community is not obliged to buy a Business Package himself to benefit from such earnings.

The commission-based system is on a five-level generation system. The Registered Verified User gains upon the packages bought by his direct downline and indirect downline until the fifth generation. Further information and a more detailed information is found online in the section Marketing Plan. 

1. Member Responsibility

1. Once a user purchases the enrollment package, one of the benefits is that the user becomes a member of the community, and by becoming a member the user must comply with various responsibilities. 

1. Each Neworkom member must comply with Neworkom’s Code of Ethics, policies and procedures laid out, and all applicable laws.

1. The member is considered as an independent contractor of the website, and in no way is this intended as an employer/ employee relationship. 

1. Each member by acting as an independent contractor shall be responsible for his/her acts, and thus each member is solely responsible for any tax liabilities that concern the sale of the products or services in the state or country of the user.

1. Neworkom and any third party websites affiliated with this website, operate with a strict code of professional conduct. Any member who in any way bring the website, it’s companies, employees, partners or associates in disrepute, or who promotes any form of slander, unfair business practices or racism shall have his membership cancelled, and the fee paid will be non-refundable. 

1. Each Member further represents, warrants and agrees that the User Content that you submit, post or display shall:

1. be true, accurate, complete and lawful;

1. not be false, misleading or deceptive;

1. not contain information that is defamatory, libelous, threatening or harassing, obscene, objectionable, offensive, sexually explicit or harmful to minors;

1. By purchasing the enrolment package, the user is agreeing that his personal data will be stored in Neworkom’s database, and such data may be used by this website and other affiliates of Neworkom as per the privacy policy agreement. 

1. No warranty of any kind is given with respect to the operation system as far as reliability, stability, or quality. Thus, the program operator, or its associates will not be responsible for any breakdown, or loss which may be incurred whether directly or indirectly due to the use of this website. This shall include, but is not limited to, any system malfunction, period of being inoperative or unavailable, loss of data or discontinuation of service, or any other inconveniences. 

1. The member also agrees that in the event that he receives any kind of remuneration of any kind, no matter the amount, the user authorizes the website to issue a self-billing invoice on his own name.

1. When we believe that there is a breach of this contract, Neworkom International Ltd shall have the right to take the disciplinary actions it deems appropriate. An example of the disciplinary actions that may be taken are the following: 

1. The suspension or/and termination of the member’s account, and any other account relating to Neworkom. 

1. restricting, downgrading, suspending or terminating the subscription of, access to, or current or future use of any Service;

1. The removal of any product listing or other content submitted by the member. 

1. Imposing restrictions on the content the member may submit 

1. Imposing other restrictions on the Member’s use of any features or functions of any Service as Neworkom International Ltd may consider appropriate in its sole discretion;

1. Any other corrective actions, discipline or penalties as Neworkom International Ltd may deem necessary or appropriate in its sole discretion.

1. Without limitation, a member may be considered in breach of these terms in any of the following however not limited to the following: 

1. 1. The suspicion that the member has made use of a stolen credit card or has submitted any other false or misleading information; or

1. 1. Neworkom International Ltd has reasonable grounds to suspect that any information provided by the Member is not current or complete or is untrue, inaccurate, or misleading, or

1. 1. Neworkom International Ltd believes that the Member’s actions may cause financial loss or legal liability to Neworkom International Ltd or our affiliates or any other Users.  

1. Term and Termination 

1. This agreement shall commence on the date when the enrolment package’s fee is paid and received by the company. The agreement shall be for a term of (12) twelve continuous months from the date when the package is purchased. 

1. Renewal of the enrolment package shall be done yearly. Subscription may be either automatically or else manually. The member will receive an email (10) ten days before the expiration of the period, informing him that the enrolment fee will be automatically renewed unless the member shall decide to cancel the membership with the website. When the member has not opted for such membership to be renewed automatically, then such member will still receive an email informing him that his account will soon expire, and thus to continue making use of such services the member has to repurchase another yearly subscription. 

1. The member may unilaterally decide to terminate such membership subscription at any time during the (12) twelve-month period. Terminating such membership will still allow the member to have access to his account for the remainder of the (12) twelve-month period for which the member would have paid, but automatically annuls the automatic payment for the next membership subscription payment. 

1. The member may decide to terminate this agreement at any time during these (12) month period, by writing to support@neworkom.com

1. This agreement or any rights conveyed in this agreement may not be transferred to any third party. 

1. The website operator may also terminate this agreement at any time for cause due to violation of this agreement or/and the Terms and Conditions of this website, and such member shall receive a notice advising the user of his breach of such conditions and terminate such an agreement. 

1. Refund Policy 

1. The purchase of the enrolment package allows the user to view trade secrets strategic alliances, and business operations that we have, and thus for this reason we do NOT offer refunds once the package is bought. Please therefore be sure that you are truly convinced before purchasing this product, since afterwards no refunds will be issued. 

1. NO REFUNDS will be issued on the enrolment package

1. If you decide to cancel a subscription product, you may do so. You will receive the remainder of the time of the initial subscription you paid for, and after that time your subscription will cancel out and not renew, thus you will not be charged any more. 

1. If you are not satisfied with any purchases you make from Neworkom or any of its subsidiaries, we will do our best to meet your satisfaction. However, ALL SALES ARE FINAL and NON-REFUNDABLE. 

1. Intellectual Property Rights. 

1. We, and our licensors are owners of all copyright, material and intellectual property rights found in this website.
2. All copyright and other intellectual rights in our website are reserved. 

1. General Users

1. As a condition of your access to and use of the Sites or Services, you agree that you will comply with all applicable laws and regulations when using the Sites or Services.

1. You must read Neworkom International Ltd’s Privacy Policy which governs the protection and use of personal information about Users in the possession of Neworkom International Ltd and our affiliates. 

1. Neworkom International Ltd may allow Users access to content, products or services offered by third parties through hyperlinks (in the form of word link, banners, channels or otherwise), API or otherwise to such third parties' web sites. You are cautioned to read such web sites' terms and conditions and/or privacy policies before using the Sites. You acknowledge that Neworkom International Ltd has no control over such third parties' web sites, does not monitor such web sites, and shall not be responsible or liable to anyone for such web sites, or any content, products or services made available on such web sites.

1. You agree not to undertake any action to undermine the reliability of the computer systems or networks of Neworkom International Ltd and/or any other User nor to gain unauthorized access to such computer systems or networks.

1. Neworkom International Ltd reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing.  Further, to the extent permitted by applicable laws and policies, Neworkom International Ltd may disclose the Member's identity, contact information and/or information regarding the Member's account(s), transactions or activities carried out on or via the Site, if requested by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action.  Neworkom International Ltd shall not be liable for damages or results arising from such disclosure, and Member agrees not to bring any action or claim against Neworkom International Ltd for such disclosure.

1. Restrictions. 

1. You are expressly and emphatically restricted from all of the following:

1. 1. 1. 1. sell, use or sub-license any of the website’s material;

1. 1. 1. 1. use the website in any manner which may be harmful to the website; 

1. 1. 1. 1. using this Website in any way that impacts user access to this Website; 

1. 1. 1. 1. using this Website contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to the Website, or to any person or business entity; 

1. 1. 1. 1. engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this Website, or while using this Website;

1. 1. 1. 1. using this Website to engage in any advertising or marketing; 

1. 1. 1. 1. Certain areas of this Website are restricted from access by you and Neworkom International Ltd may further restrict access by you to any areas of this Website, at any time, in its sole and absolute discretion.

1. Severability. 

1. If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render this Terms/agreement unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

1. Applicable Laws and Jurisdiction

1. This agreement shall be governed by the laws of Malta, and any disputes shall be decided by the Maltese Courts.

1. Assignment. 

1. Neworkom International Ltd shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms. 

1. Entire Agreement.

1. These Terms, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between Neworkom International Ltd and you in relation to your use of this Website, and supersede all prior agreements and understandings with respect to the same.
